Terms of Service

1. Acceptance of Terms

By accessing or using the ClydeVision Films website and platform (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you may not use the Platform. These Terms constitute a legally binding agreement between you and ClydeVision Films LLC ("ClydeVision," "we," "us," or "our").

If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Platform Description

ClydeVision Films operates as a two-sided marketplace connecting independent filmmakers ("Filmmakers") with brands and corporate sponsors ("Brands") for the purpose of negotiating, executing, and managing product placement and brand integration agreements within independent film and media productions.

ClydeVision acts as a marketplace operator and escrow facilitator. We are not a party to the underlying placement agreements between Filmmakers and Brands, and we do not guarantee the quality, legality, or fitness of any placement, production, or deliverable.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use the Platform. By registering, you represent and warrant that you meet these requirements. The Platform is intended for use by residents of the United States; international users access the Platform at their own risk and are responsible for compliance with local laws.

4. User Accounts

To access certain features you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent activity.

5. Filmmaker Terms

Filmmakers who list placement opportunities on the Platform represent and warrant that:

• They own or control the rights necessary to offer the described placement within their production.
• All project information, including genre, format, audience demographics, and scene descriptions, is accurate and not misleading.
• They will deliver placement footage that materially conforms to the agreed description within the timeline specified in the deal.
• They will not accept payment outside the Platform's escrow system for deals initiated through the Platform.
• They will maintain a public profile only if they consent to the display of their project information and statistics.

Filmmakers acknowledge that ClydeVision may use anonymized placement data and aggregate statistics for platform analytics and marketing purposes.

6. Brand & Sponsor Terms

Brands and sponsors who initiate deals or submit onboarding applications represent and warrant that:

• All company information provided during onboarding is accurate and up to date.
• They have the authority to commit the stated budget and enter into placement agreements.
• Products or services to be placed comply with all applicable laws and do not infringe third-party rights.
• They will fund escrow within the timeframe specified upon deal initiation.
• They will review and approve or reject deliverables in good faith within the review window specified in the deal.

7. Escrow & Payment Processing

ClydeVision operates a five-state escrow system: Initiated → Escrow Funded → Footage Uploaded → Verified → Payout Released. Funds are held in escrow by ClydeVision on behalf of the parties and are released to the Filmmaker only upon verification of the deliverable.

Payment processing is facilitated through GoDaddy Payments. By initiating or funding a deal, you agree to GoDaddy Payments' terms of service in addition to these Terms. ClydeVision is not responsible for payment processor outages, delays, or errors beyond our reasonable control.

Disputes regarding deliverable quality must be raised within 7 days of footage upload. ClydeVision's dispute resolution decision is final and binding for amounts under $10,000. For larger amounts, disputes may be escalated to binding arbitration as described in Section 14.

8. Fees & Revenue Share

ClydeVision charges the following fees on each completed deal:

Fees are non-refundable once a deal reaches the Verified state. ClydeVision reserves the right to modify its fee structure with 30 days' notice to registered users.

9. Intellectual Property

All content on the Platform — including the ClydeVision name, logo, software, design, and text — is owned by or licensed to ClydeVision Films LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Filmmakers retain ownership of their productions. Brands retain ownership of their brand assets. By submitting content to the Platform (project descriptions, pitch decks, brand materials), you grant ClydeVision a non-exclusive, royalty-free license to display and use that content solely for the purpose of operating the Platform.

10. Content Standards

You agree not to submit, upload, or transmit content that:

• Is unlawful, defamatory, obscene, or fraudulent.
• Infringes any third-party intellectual property, privacy, or publicity rights.
• Contains malware, viruses, or harmful code.
• Misrepresents your identity, affiliation, or the nature of a project or brand.
• Promotes illegal products or services.

ClydeVision reserves the right to remove any content that violates these standards without prior notice.

11. Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CLYDEVISION DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLYDEVISION'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO CLYDEVISION IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $500 USD.

IN NO EVENT SHALL CLYDEVISION BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless ClydeVision Films LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination — including Sections 8, 9, 11, 12, 14, and 15 — will survive.

You may terminate your account at any time by contacting us at [email protected]. Active deals in escrow must be resolved before account closure.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Pensacola, Florida.

You waive any right to participate in a class action lawsuit or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, for material changes, notify registered users by email. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
